By using the salerise.com web site ("Service"), all services of SaleRise [ABN 89 655 840 609] ("SaleRise"), you are agreeing to be bound by the following terms and conditions ("Terms of Service").

By using the pages in this site, you agree to these terms and conditions. If you do not agree, you should not use this site. These terms and conditions may be changed or updated from time to time.
SaleRise reserves the right to update and change the Terms of Service from time to time without notice. Any new features that augment or enhance the current Service, including the release of new tools and resources, are subject to the Terms of Service. Continued use of the Service after any such changes shall constitute your consent to such changes. Violation of any of the terms below will result in the termination of your account. While SaleRise prohibits such conduct and Content on the Service, you understand and agree that SaleRise cannot be responsible for the Content posted on the Service and you nonetheless may be exposed to such materials. You agree to use the Service at your own risk.

Account Terms

• You must be 13 years or older to use this Service.
• You must be a human. Accounts registered by "bots" or other automated methods are not permitted.
• You must provide your legal full name, a valid email address, and any other information requested in order to complete the signup process.
• You are responsible for maintaining the security of your account and password. SaleRise cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
• You are responsible for all Content posted and activity that occurs under your account (even when Content is posted by others who have access to your account).
• You may not use the Service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).
  
  

SaleRise and it's services

The Website provides registered users with a friendly, cheapest and convenient method for building their own websites. In the framework of the use of the Platform, users are given the option of using the templates and upload their images in order to design and set up their own internet website which has all your ownership. The Templates and the Images offered to users have been sourced from third party websites which allow use for your website projects. Users are at liberty to use the supplied images or their own images to develop a website. The Websites that have been set up by means of the Platform will be stored on the Company’s servers or third party servers with whom the Company contracts, (as set out in the Private Policy).

Payments and Refund Terms

A valid payment card is required.

It is your responsibility to ensure that there are sufficient clear funds available in your account. You should check your account statement to verify that the amounts debited from your account are correct.
All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties, excluding only United States (federal or state) taxes.

Cancellation and Termination

You are solely responsible for properly canceling your account.

Account cancellation requests submitted by email or phone will not be honored. In order to cancel your account, you must manually cancel your account inside of your account dashboard. Cancellations by phone or sent to any email address will not be considered valid. It is not our responsibility to ensure that your account has been cancelled if your request was made by email or phone. All of your Content will be deleted from the Service upon cancellation. This information cannot be recovered once your account is cancelled.

If you cancel the Service before the end of your current paid up month, your cancellation will take effect immediately and you will not be charged again.

SaleRise, in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Service, or any other SaleRise service, for any reason at any time. Such termination of the Service will result in the deactivation or deletion of your Account or your access to your Account, and the forfeiture and relinquishment of all Content in your Account.

SaleRise reserves the right to refuse service to anyone for any reason at any time.

Services Uptime

Although every effort is being made to provide maximum uptime and services that meets quality standards we cannot be responsible for any delays or interruptions to the Website. We will use commercially reasonable efforts to minimise delays and interruptions. However, we cannot warrant that the Website will be available at all times or at any given time.
We may at any time and without notice to you, discontinue the Website in whole or in part. However, we cannot be responsible for any loss, cost, damage or liability that may result from our discontinuance of the Website.

Resale of Services

You will not reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without our express written permission, which may be in the form of a separate written agreement with SaleRise. We offer Reseller program from clients who want to resell websites and as a result indirectly get SaleRise more clients. As part of the seller program we do not take any credit for your business and give white-label branding to your engine.
SaleRise is often used by Designers to design websites for a third party. Such use is explicitly permitted. Should you design websites for third parties on any other version of SaleRise, such sites must each have their own account controlled by the third party, and you may not group multiple client sites under one account owned by you.

Domain Name Registration and Domain Name Cancellation

For the domain name registration services (the “Domain Services”) provided directly to you by SaleRise, the following terms and conditions also apply. Your use of the Domain Services provided by SaleRise serves as your consent to these terms. Some of the service packages include SaleRise registering an Internet domain name or renewing your existing domain name (the “Domain Name”) on your behalf. For the purpose of procuring and/or maintaining domains, SaleRise will act only as the agent between you and the organization responsible for domain name allocation. All new registrations and subsequent renewals of those registrations will therefore also be subject to the domain registrar terms and conditions. SaleRise reserves the right to utilize any domain registrar at any time, in which case the terms and condition of such organization will apply complementarily to these Domain Terms.
SaleRise may provide one (1) free domain name for up to one year, with a new purchase of an annual or bi-annual subscription plan. The domain will be included for the lifetime of your SaleRise account, and the domain will be registered in your name and is yours to keep, as long as you cover any applicable domain registration fees following the first year. The free domain name only applies to certain top-level domains (e.g. .com, .net, and .org) when signing up for a new plan.
You are responsible for providing correct and complete data regarding the domain name holder (“Registrant”) and the administrative contact when registering the domain name. The technical contact in all cases will be SaleRise, Inc. Before applying for a domain name, it is your responsibility to check that the domain name does not violate the rights of any third party or contravene existing legislation. We may defer activation of a domain name until payment of the agreed fees for the registration services has been received. SaleRise is in no position to influence the allocation of the domain name by the Registrar. We can neither guarantee that the requested domain names will be allocated to you and/or that allocated domain names are free of third-party rights nor guarantee their continued existence. Any information we provide regarding the availability of a domain name is based on the data provided by third parties and only refers to the time that information is requested. The domain will not be deemed as allocated before registration of the domain in the name of you, the Registrant, and its entry in the database of the Registrar.
The initial registration term for purchased domains may vary and such registration will auto-renew for successive 12-month periods. You will be charged for auto-renewal forty-five (45) calendar days before your domain expires (even if that date differs from your SaleRise website subscription renewal date). You can, of course, opt out of auto-renewal by turning off the auto-renew option in your settings at any time before the auto-renewal takes effect. Each purchased domain name is registered in your name and is yours to keep, as long as you pay the applicable fees.

You must notify us immediately if you lose the rights to a domain name registered by SaleRise on your behalf.

Sub-domains

You agree that all SaleRise Subdomains are owned by SaleRise, are nontransferable and that SaleRise may for any reason, or for no reason, in its sole discretion and without notice or liability to you or any third party, immediately terminate or suspend your account, username, and SaleRise Subdomain, and remove or discard any content associated with your account and username.

Prohibited conduct

In relation to the Website, you must not:

• use the Website for any activities or post or transmit via the Website, any information or materials which breach any laws or regulations, infringe a third party’s rights, or are contrary to any relevant standard or codes;
• use the Website to post or transmit any material which interferes with other users or defames, harasses, threatens, menaces, offends or restricts any person or which inhibits any user from using the Website or the Internet;

Modifications to the Service and Prices

SaleRise reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.

SaleRise shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.

From time to time, SaleRise may issue an update to the SaleRise application which may add, modify, and/or remove features from the application. These updates may be pushed out automatically with little or no notice, although SaleRise will do everything in its power to notify you in advance of an upcoming update, including details on what the update includes.

Copyright and Content Ownership

We claim no intellectual property rights over the material you provide to the Service. Your profile and materials uploaded remain yours. However, by using the SaleRise application to create your mobile application, you agree to allow others to view and share your Content.
We do not own nor do We claim ownership of the content submitted to be included in and/or displayed on Your website, SaleRise website included/displayed in any other Service (“Content”). Content includes, but is not limited to: information, data, text, software, music, sound, photographs, graphics, video, messages, goods, products, services or other materials included on a site via the Service. This Content is Your Content and as such, You are responsible for all of the Content that You upload, post, transmit or otherwise make available via Our Services. We do not control the Content You post via Our Services.
SaleRise’s Services allow You to import or link certain Content hosted on third-party websites into the Services. Although we take actions to save data to our servers, this Content isn’t owned by SaleRise, and thus if it is no longer available or accessible to a user, then those portions of Your creation that reference such Content will not work.
SaleRise does not warrant that the content embedded in a website, either generated via automatic import, or placed manually by You, is licensed for use in Your jurisdiction. You are responsible for ensuring You have the appropriate license, or meet Fair Use requirements, or other laws and rights in Your jurisdiction, for any content that may have a trademark or copyright.
Through Our Services, We may provide certain Content that is subject to proprietary rights of third parties. SaleRise shall have the right, at any time, at is sole and exclusive discretion to remove such Content from the Services and/or disable access to such Content.
By using the Services, You may be exposed to Content that is offensive, indecent or objectionable. Under no circumstances will We be liable for Your Content or the Content of any third party, including, but not limited to, for any errors or omissions in Content, or for any loss or damage of any kind incurred as a result of the use of any Content posted, transmitted or otherwise made available via the Service. You acknowledge that We do not pre-screen Content, but that We shall have the right (but not the obligation) to refuse, move or delete any Content that is available via the Service. We shall also have the right to remove any Content that violates these Terms or is otherwise objectionable in Our sole discretion. You bear all risks associated with the use of any Content. You acknowledge and agree that We may preserve Content and may also disclose Content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce these Terms; (c) respond to claims that any Content violates the rights of third parties; or (d) protect Our rights, property, or personal safety and those of Our users and the public.

The look and feel of the service is copyright of SaleRise. You may not duplicate, copy, or reuse any portion of the HTML/CSS or visual design elements without express written permission from SaleRise.


You grant SaleRise a license to use the materials you post to the Services.  By posting, downloading, displaying, performing, transmitting, or otherwise distributing user content to the Service, you are granting SaleRise, its affiliates, officers, directors, employees, consultants, agents, and representatives a license to use user content in connection with the operation of SaleRise, its affiliates, officers, directors, employees, consultants, agents, and representatives, including without limitation, a right to copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate, and reformat user content.  You will not be compensated for any user content.  By posting user content on the Service, you warrant and represent that you own the rights to the user content or are otherwise authorized to post, distribute, display, perform, transmit, or otherwise distribute user content.

When accessing or using the Services, you agree to obey the law and to respect the intellectual property rights of others.  Your use of the Services is at all times governed by and subject to laws regarding copyright, trademark, patent, and trade secret ownership and use of intellectual property.  You agree not to upload, download, display, perform, transmit, or otherwise distribute any information or content in violation of any party’s copyrights, trademarks, patents, trade secrets, or other intellectual property or proprietary rights.  You agree to abide by laws regarding copyright, trademark, patent, and trade secret ownership and use of intellectual property, and you shall be solely responsible for any violations of any laws and for any infringements of any intellectual property rights caused by any content you provide, post, or transmit, or that is provided or transmitted using your user name or user ID.  The burden of proving that any Content does not violate any laws or intellectual property rights rests solely with you.

All SaleRise content included on its site, its Software, and through the Service is the property of SaleRise and is protected by U.S. and international intellectual property laws.  All SaleRise content, Software, code, HTML/CSS, and visual design data is copyright 2016 SaleRise.

General Conditions

You authorize the Company to use, reuse, and to grant others the right to use and reuse, your Content, and any reproduction or simulation thereof, in any form of media or technology now known or hereafter developed, both during and after your use of the Services, for any purposes related to the Service.

You understand that SaleRise uses third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Service.

You must not modify, adapt or hack the Service or modify another website so as to falsely imply that it is associated with the Service, or any other SaleRise service.

Verbal, physical, written or other abuse (including threats of abuse or retribution) of any SaleRise customer, employee, member, or officer will result in immediate account termination.

You understand that the technical processing and transmission of the Service, including your Content, may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.

You must not upload, post, host, or transmit unsolicited email, SMSs, or "spam" messages. You must not transmit any worms or viruses or any code of a destructive nature.

SaleRise does not warrant that (i) the service will meet your specific requirements, (ii) the service will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the service will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations, and (v) any errors in the Service will be corrected.

You expressly understand and agree that SaleRise shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if SaleRise has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; (v) or any other matter relating to the service.

The failure of SaleRise to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and SaleRise and govern your use of the Service, superseding any prior agreements between you and SaleRise (including, but not limited to, any prior versions of the Terms of Service).

In no event shall SaleRise liability to you exceed the amount actually paid to SaleRise by you during the preceding 12 months.
